I. Organization of *MD Corporations

A. Formation Requirements (People, Paper, Act)

• People: One or more incorporators (adult humans only) must execute & file articles of incorporation (charter) and resident agent's agreement.

• Paper (Articles of Incorporation/Charter): Contract between corp & shareholders, and corp & state. Must include:

• Names & Addresses: Corporation name (distinguishable, includes "magic words" like Corp., Inc., Ltd., Co.), incorporators' names/addresses, initial directors' names/addresses.

• Statement of Intent to organize *MD corporation.

• Resident Agent: Name & address of resident agent (official legal representative for service of process); agent must give written agreement to serve.

• Statement of Duration
